
The Director of M&A Finance will support the company’s efforts to drive financial and strategic decisions at Honeywell. This role will assist the team with the financial evaluation of Honeywell’s Advanced Materials M&A and capital deployment process as well as being responsible for providing competitive analysis of the industry.
Key Responsibilities
Assists in the creation of driver based operating models
Conducts valuation analysis for M&A opportunities using discounted cash flow model and other relevant valuation practices
Participates in M&A due diligence process—identifying key financial risks and opportunities related to the transaction
Identifies and communicates key operating and valuation drivers to senior leadership highlighting the overall impact on the enterprise
Prepares financial schedules included in M&A presentations to Senior Leadership
YOU MUST HAVE
Critical Skills
Provides a critical role in initial target evaluation, including financial and operational diligence, strategic fit, product differentiation, personnel / culture analysis, and participating in prospecting / funnel development as needed
Owns operating model, including 5-10 year base case financial projections on volumes, pricing, margin accretion, operating leverage, & Opex / Capex spend
Accountability for cross functional synergy modeling, both costs of acquisition (IT, HR, retention, benefits harmonization etc) and benefits (sales synergies, cost out, procurement)
A valuation perspective, understanding a relevant comp set, DCF analysis, multiples in similar sectors and having a POV on an acceptable return threshold
Accountability for synergy realization post-merger, partnering with the integration operational leader, to ensure those modeled synergies & costs come in at, below, or in some cases better than planned
Buy side ownership of QoE assessment, and all financial diligence (potentially leading a consultant based work team)
For dispositions, coordination of carve out financials & sell side due diligence including standalone cost modeling, QoE completion, marketing materials (CIP) if needed, tax / controllership / B/S analysis
Key leadership role in a matrix, needs to effectively collaborate across boundaries and other functions
